Why?

Well, we will have plenty of cap room to go after Kobe.  Then, wil have 2 of 3 top picks to get Dwight Howard and Omeka Okefor.  Those two with Darko, Terry, and Kobe will be potent in the future.  Plus, for next year, still ok with Terry, Kobe, Diaw, Gooden, and Campbell not bad.

Why?  Get Shareef for a star duo of McGrady and Shareef.  Then, Lindsey Hunter gives them more capspace in the offseason to get a big guy and some role players.  Shareef is better than any player they can get in the draft this year, plus get rid of players who have many years left on contracts and some picks.
